PROCEDURES
The Committee that oversees chapter and region activities may create a task force to investigate whether a chapter’s charter will be revoked.
The Director of Member Services at ARMA headquarters, and the Region Manager for the affected chapter will be involved in all revocation actions.
Claims
1. Member(s) will notify the President of ARMA International a chapter is in alleged violation of a provision or obligation of the Articles of Incorporation or the Bylaws of ARMA International.
2. The President will notify the Board of Directors, the Director of Member Services, and the Region Manager of the affected chapter.
Notice
1. The task force will send the affected chapter a written notice regarding the allegations and request a written response from the chapter.
2. The task force will include in the notice the allegation(s); the requirements and deadline for response; and the names and contact information of the members of the task force.
3. If no response is received from the chapter within fourteen (14) days, the task force will make a recommendation to the Board of Directors to revoke the chapter’s charter, based on the facts available as per section “Recommendation” below.
Response
1. The chapter may present a written response to the allegations, or may request a meeting at which to present its response.
2. The chapter may request that the meeting occur before the task force or the entire Board of Directors.
3. The chapter will be notified of the date and place of the meeting, which is at the discretion of the Board.
4. Upon notice to the task force or the Board, the chapter may be accompanied at the meeting by an attorney of its own choice.
5. The chapter will appear at the meeting at its own expense.
Recommendation
1. The task force will review the written response or the results of the hearing.
2. The task force will consult with the Board’s external legal counsel if necessary.
3. The task force will present a recommendation to the Board to either dismiss the matter, or to revoke the chapter’s charter.
Decision
1. A special meeting of the Board of Directors will be convened to review the recommendations.
2. The President will present the recommendations to the Board.
3. The Board of Directors will vote regarding the decision to dismiss the matter or to revoke the chapter’s charter.
4. The decision of the Board will be conveyed in writing, via certified mail, to the president of the affected chapter immediately after the special Board meeting.
5. All documents related to the matter will be provided to the Corporate Secretary, who will retain them on file.
Members and dues
1. The President will notify members of the affected chapter that the Board of Directors has revoked the chapter’s charter.
2. Members may then join any other chartered chapter of their choice.
3. Dues paid to the affected chapter beyond the revocation date are not refundable.
4. All monies from the revoked chapter bank accounts are to be paid to ARMA International within 30 days. These funds are subsequently turned over to the respective Region.
