POLICY
As a not for profit entity incorporated under the name “The Association of Records Managers and Administrators” under the laws of the State of Kansas and tax exempt under the United States Internal Revenue Code Section 501(c)(6), ARMA International is operated in accordance with its Articles of Incorporation, Bylaws and other relevant statutory and regulatory requirements. The Articles of Incorporation set forth basic information required by the state of Kansas for the formation of a corporation and seldom if ever should need to be changed.
GUIDING PRINCIPLES
1. The Board of Directors of ARMA International is the governing body of ARMA International.
2. The Board of Directors of ARMA International, in consultation with the Association’s legal counsel, may make amendments to the Articles of Incorporation as and when required.
3. The Articles of Incorporation set forth basic information required by the state of Kansas for the formation of a corporation and seldom if ever should need to be changed.
4. A two-thirds vote of the Board of Directors is required for adoption of any amendment to the Articles of Incorporation.
